Terms and Conditions for ResourcePool Services
Introduction
Welcome to [Your Company Name] (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your use of our offshore web development and technology services (“Services”). By engaging our Services, you (“Client”, “you”, or “your”) agree to be bound by these Terms.
Services
We provide a comprehensive range of offshore web development and technology services, including but not limited to:
- Web Technologies: Design, development, and deployment of web-based applications and websites utilising the latest technologies and frameworks.
- Cloud Technologies: Solutions for cloud infrastructure, cloud migration, and cloud-based application development.
- Mobility: Development of mobile applications and solutions for various platforms, including iOS and Android.
- Consulting & Strategy: Expert consulting services to define technology strategies, project management, and business analysis.
- Digital Transformation: Strategies and solutions to drive digital transformation, enhancing business processes and customer experiences.
- ERP & CRM Systems: Implementation and customization of Enterprise Resource Planning (ERP) and Customer Relationship Management (CRM) systems.
- Quality Assurance/Testing: Comprehensive quality assurance and testing services to ensure the reliability and performance of software products.
- AI & ML: Development and integration of artificial intelligence (AI) and machine learning (ML) solutions to drive innovation and data-driven decision-making.
- Big Data Solutions: Solutions for managing, analysing, and leveraging big data to extract actionable insights.
- IoT & AR/VR: Development and deployment of Internet of Things (IoT) solutions and Augmented Reality (AR) / Virtual Reality (VR) applications.
- Cyber/Network Security: Services to secure digital assets and networks against cyber threats, including vulnerability assessments and security audits.
- Specific details of the services will be outlined in a separate project proposal or scope document. We may collaborate with various vendors to deliver these services effectively.
Pricing
- Hourly Rate: Our Services are billed at an hourly rate of [USD/Euro/Local Currency] [XX.XX]. The total cost will be based on the actual hours worked, as detailed in the project’s timesheets, and will be invoiced accordingly.
- Payment Terms: Payments will be made on an hourly basis upon satisfactory completion of work. Payment will be released within 7 days after the issuance of a satisfactory completion certificate by our Project Manager.
Project Scope and Changes
- Initial Scope: The scope of work will be defined in the project proposal or scope document.
- Change Requests: Any changes to the project scope will be documented. Such changes may result in additional hours billed at a mutually agreed-upon rate.
Project Monitoring
- Project Oversight: The oversight of the project will be conducted by our Project Manager. The Project Manager will be responsible for ensuring that each phase of the project meets the agreed-upon standards and milestones.
- Satisfactory Completion Certificate: Upon the completion of each project phase, the Project Manager will issue a satisfactory completion certificate. This certificate will confirm that the phase has been completed to our standards and the Client’s satisfaction.
- Performance Reviews: Regular performance reviews will be conducted to assess the project’s progress and quality of work. The Client will receive progress reports, and feedback will be solicited to ensure alignment with expectations.
Confidentiality
We agree to keep all client information confidential and will not disclose any details to third parties, including our vendors, without your explicit consent. This obligation remains in effect even after the termination of our Services.
Intellectual Property
All intellectual property rights in the work produced as part of the Services shall be owned by the Client upon full payment. However, we retain the right to use non-client-specific components for future projects.
Termination
- Termination by Company: The Company may terminate the Services under the following conditions:
- Non-Completion of Scope: If the Company determines that the Client has failed to complete or fulfil the scope of work as defined in the project proposal or scope document, the Company reserves the right to terminate the agreement immediately. In such cases, no further payments will be released, and the Client will not be entitled to any refunds for payments made prior to termination.
- Scope Change: If the scope of work is changed repeatedly by the Client, leading to significant deviations from the original agreement, the Company may terminate the Services with [X] days’ written notice. No compensation will be payable for such termination.
- Termination by Company: The Company may terminate the Services under the following conditions:
Liability
- Limitation of Liability: Our liability for any claims arising out of our Services is limited to the total amount paid by the Client for the Services in the [month/period] in which the claim arose.
- Indemnification: The Client agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from the Client’s use of our Services.
Governing Law
These Terms shall be governed by and construed by the laws of India, without regard to its conflict of law principles.
Dispute Resolution
Any disputes arising from or related to these Terms or our Services shall be resolved through arbitration in Indore, M.P., India.
Amendments
We reserve the right to amend these Terms at any time. Any changes will be communicated to the Client, and continued use of our Services constitutes acceptance of the updated Terms.
